<p>AlphaTON Capital closed the terms on its GAMEE acquisition on March 19. The news comes five months after&nbsp;<a href="https://funjible.games/news/alphaton-capital-moves-to-acquire-majority-stake-in-gamee">AlphaTON Capital announced its initial intentions</a> for the acquisition. In the meantime, the deal grew from a proposed 51 percent stake to a 60 percent controlling position, now carrying an $18 million valuation.</p><p>The transaction splits into three payments:</p><ul><li>AlphaTON puts up $3.5 million at closing through:<ul><li>$1.5 million cash</li><li>Roughly 2 million shares and warrants</li><li>A commitment to buy $2 million in GMEE tokens over 90 days.</li></ul></li></ul><p>&nbsp;</p><p>Two additional earn-out tranches of $3.5 million and $4 million are unlocked if GAMEE hits annual EBITDA targets of $1.2 million and $1.6 million in years one and two, respectively.</p><p>Animoca Brands transfers 878 million GMEE tokens and 20 billion WAT tokens as part of the deal. Martin Zakovec continues as CEO while Miroslav Chmelka remains CTO. Founder Bozena Rezab moves into a new position as Head of AlphaTON Gaming. The board will seat two AlphaTON representatives and one from Animoca.</p><p>GAMEE reported total revenue of $3.54 million for 2025. The platform holds 119 million registered users, with 61 million active on Telegram specifically. Its WATCoin airdrop brought 4 million wallets into the TON ecosystem.</p><p>AlphaTON shifted from biotech operations to a TON treasury company in early 2025. The company deployed $30 million into Toncoin before pursuing the GAMEE acquisition.
